About Jenifer Osterwalder

Jenifer Osterwalder has served as our Chief Executive Officer, Principal Accounting Officer, President, Treasurer, Secretary and as a director since March 7, 2005. Previously, from January 2005 to March 2005, Ms. Osterwalder served as President, Chief Executive Officer, Treasurer, Secretary and director of FUSA Technology Investments Corp. From January 2000 to January 2005 she served as a consultant investment banker to Five Seas Securities, Ltd., a securities firm in British Columbia, Canada.

About Stephen Spalding

Stephen has over 30 years of experience in executive management, corporate governance, risk management, control design and development.  This experience includes eighteen years in the “Big 4”; twelve as a partner, in progressively expanding roles.  As a Partner in Deloitte, he developed the North West Region Enterprise Risk Services practice.  This major practice area included Information Security Support, Internal Audit Services, Technology Control Assurance, Data Quality and Project Risk Management.  In this role, he provided overall responsibility and leadership for a practice of 120 professionals and 12 partners.  He served some of the firm’s largest west coast clients (Boeing, Microsoft, Safeway, Kaiser Permanente etc.).  He also established the firm’s first National e-Center practice and the West Regional Network Quality Assurance practice to support clients with network architecture, information security, availability and infrastructure services.  He also served on Deloitte’s Northern California management council.  As a partner at KPMG, he was one of the three founding partners of KPMG’s Information Risk Management practice.  Before joining KPMG Stephen established Internal IT Audit functions at two fortune one hundred companies and was a systems programmer in a large IBM environment.

 

Stephen is a frequent speaker at national and regional meetings on information security, identity and information risk management.  He is also is a past Vice President and served on the Board of Directors of the Institute of Internal Auditors (IIA), San Francisco Chapter and has served on the information security committee of COBIT.

Stephen has extensive experience with early-stage companies including:  

  • CEO/President and Director, Verde Resources Inc. an early-stage precious metal exploration company.  Stephen has supported the company as has become a public traded (current).

  • CFO and Director of Spectral Capital, an early stage energy exploration company (current).

  • CFO, Paxton Energy, an early stage oil exploration company (2010 – 2011).

  • CEO of Vigilant Privacy Corporation, where he led the company’s product transformation from a desktop offering to an enterprise solution. Lead the first round of financing and supported the deployment of the first three customers (2001 – 2007).

  • CEO of Cytta Corp, organized the company, developed the relationships and supported the development of the telecommunications health solutions (2009 -2011).

  • President of USA Uranium Corp., an early stage public company bringing new technology to mineral exploration (2008 – 2010).

  • Special Advisor to GreenFire a global geothermal company.

  • Board of Director for Telanetix, Inc., an early stage high definition video conferencing company, and Rocket Information Systems Inc. an early stage search-engine company. 

  • CEO Advisor to The ID Hub Global Pte. Ltd., a Singapore-based IT startup.

 

In addition, Stephen partnered diligence reviews for financial, technology and food production companies for investors and assisted several pre-IPO companies with compliance (SOX 404) projects.
